This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011.

The domain name sparelelo.com (hereinafter referred to as the "Website/Platform") is owned and operated by UMAIR TECHNOLOGY PRIVATE LIMITED, doing business as "Spare Lelo". By accessing, browsing, or using the Platform, you agree to be bound by these Terms & Conditions, including the Privacy Policy and any other rules or regulations posted on the site.

Spare Lelo operates as an integrated marketplace and service aggregator. We provide:

• B2B Services: Selling high-quality mobile spare parts to repair shops and technicians.
• B2C Services: Connecting end-customers with a network of over 700+ Verified Service Partners for transparent and affordable mobile repairs.

• Hassle-Free Service Booking: Customers may book repair services through the Platform by paying a non-refundable Service Booking Fee of ₹51. This fee guarantees priority service and reservation of necessary parts at the selected partner store.
• Fixed Pricing Guarantee: Spare Lelo ensures that the customer pays the price listed on the website. Service Partners are legally mandated to honor these prices.
• Scope of Repair: The listed website price applies to the specific part replacement. In cases of multiple faults, secondary damages, or complex motherboard/IC repairs, additional service charges may apply as per the "Complexity Guidelines" mentioned in our service descriptions.
• Customer Privacy: We facilitate the connection between the customer and the partner. Customers are advised to back up their data before handing over devices to partners.

Any entity or individual listed as a partner on the Spare Lelo Platform agrees to the following:

• Mandatory Order Fulfillment: Partners must fulfill a minimum of 15 successful repair orders per calendar month through the Spare Lelo Platform.
• Monthly Royalty Fee: Failure to meet the 15-order target will attract a Monthly Royalty Fee of ₹200. This fee is essential to maintain the partner's digital listing and visibility on the platform.
• Listing Rights: The Partner authorizes the Company to use their shop name, location, and contact details for marketing and listing purposes. The Company reserves the right to de-list any partner for poor reviews, misconduct, or breach of terms.
• Data Integrity & Updates: It is the Partner's absolute responsibility to notify Spare Lelo immediately in case of Address Change or Shop Closure. Failure to provide timely updates, leading to customer inconvenience, will result in immediate termination and blacklisting.
• Equipment Ownership: The 18x18 Round Light Board provided by Spare Lelo is the exclusive property of Umair Technology Private Limited. It is provided for branding purposes only. Partners shall not modify, paint, or write anything on this equipment. It must be returned in good condition upon termination of the partnership.

All content included on the Website, such as text, graphics, logos, images, digital downloads, and software, is the property of UMAIR TECHNOLOGY PRIVATE LIMITED or its content suppliers and is protected by Indian and International copyright and trademark laws. Unauthorized use of the brand name "Spare Lelo" or any website material will result in strict legal action.

• Product Quality: Spare Lelo provides "Trusted High-Quality Parts." We do not claim to provide original OEM parts unless specifically branded as such.
• Repair Liability: While we verify our partners, Spare Lelo acts as an intermediary. Any dispute regarding the quality of workmanship at the shop must be resolved with the partner, though Spare Lelo will assist in mediation.
• System Availability: We do not warrant that the Website will be uninterrupted or error-free.

You agree to indemnify and hold harmless UMAIR TECHNOLOGY PRIVATE LIMITED, its directors (including the founding directors), and employees from any claims, damages, or expenses arising from your violation of these terms or misuse of the platform.

Spare Lelo reserves the right to terminate or suspend access to our Services for any user or partner without prior notice for:

• Breach of these Terms.
• Direct dealing outside the platform to bypass company protocols.
• Providing false or misleading information.

These Terms shall be governed by and constructed in accordance with the laws of India. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.

The Company reserves the right to update or modify these Terms of Service at any time without prior notification. Continued use of the platform after updates constitutes your consent to the revised terms.
